**In one line:** The government and LIC are selling control of IDBI Bank to a Fairfax subsidiary for ₹52,877.07 crore, the largest FDI in India's financial sector if completed.

The Cabinet Committee on Economic Affairs (CCEA), chaired by Prime Minister Narendra Modi, on 14 October 2026 approved the sale of a 60.72% stake in IDBI Bank to 10955230 Canada Inc, a subsidiary of Toronto-headquartered Fairfax Financial Holdings, for ₹52,877.07 crore. The stake combines 30.48% held by the Government of India and 30.24% held by the Life Insurance Corporation (LIC). After the sale the government will hold 15% and LIC 19%, together 34%. The government said that once completed, it "will be the largest FDI in the financial sector of our economy so far". It is also described as the biggest strategic disinvestment since Air India.

The winning bid was ₹81 a share, against an independently assessed average fair value of ₹75.99. An earlier round in 2025-26 failed because bids fell below the reserve price of ₹94.42. Fairfax must make an open offer to minority shareholders. Because Fairfax already holds a stake in Kerala-based CSB Bank, it must either merge CSB Bank with IDBI Bank or exit that holding within two years. The buyer must also satisfy the RBI. DIPAM Secretary Arunish Chawla said the deal will be completed before the end of the current financial year. The government plans to sell its remaining 15% in the open market. IDBI shares closed 8.33% higher at ₹89.85 on 14 October.

The sale ends a long process. The RBI placed IDBI Bank under its Prompt Corrective Action framework in May 2017. LIC took a 51% controlling stake in January 2019, after which the RBI classified IDBI as a private sector bank. PCA was lifted in March 2021, and in May 2021 the CCEA approved a strategic sale with transfer of management control. Expressions of interest were invited in October 2022, and Fairfax and Dubai-based Emirates NBD were the final bidders. Supporters point to fresh capital and foreign investment in a bank that has already cleaned up its books, with gross NPAs down from 31.78% in September 2018 to 2.32% in March 2026. The questions are about price, since ₹81 is well below the earlier reserve of ₹94.42, and about foreign control of a large lender.

## Mains practice question

The sale of a controlling stake in IDBI Bank to a foreign investor marks a new stage in strategic disinvestment. Examine the rationale for the sale and the concerns it raises. (250 words)

### Model answer

On 14 October 2026 the CCEA approved the sale of 60.72% of IDBI Bank to a subsidiary of Canada's Fairfax Financial Holdings for ₹52,877.07 crore. It would be the largest FDI in India's financial sector and the biggest strategic disinvestment since Air India.

## Rationale
- **Capital and governance**: a strategic buyer brings fresh capital and management, instead of repeated government recapitalisation.
- **Revenue**: proceeds support the disinvestment programme; the government also keeps 15% to sell later in the market.
- **Timing**: the bank has recovered; gross NPAs fell from 31.78% (September 2018) to 2.32% (March 2026), net NPAs to 0.15%, and 2025-26 profit was ₹9,513 crore.
- **Signal**: shows that a state-controlled lender can be sold, after five years of process since the May 2021 CCEA approval.

## Concerns
- **Price**: ₹81 a share is above the assessed fair value of ₹75.99 but below the failed round's reserve of ₹94.42.
- **Foreign control**: a foreign group will control a large bank; the RBI's approval and fit and proper checks are the safeguard.
- **LIC**: LIC sells 30.24% but keeps 19%, with its policyholders' money still exposed.
- **Concentration**: Fairfax must merge CSB Bank or exit it within two years.
- **Minority holders**: an open offer is required to protect them.

## Way forward
- Complete RBI approvals transparently and on time.
- Publish the valuation basis to build confidence for future bank sales.
- Use the experience to set clear rules for privatising public sector banks.

If completed smoothly, the deal could become a template for bank privatisation, but its legitimacy rests on transparent pricing and strong regulation.

## The basics

## Why this matters

Disinvestment, bank privatisation and foreign investment are recurring GS3 themes. The IDBI Bank deal brings all three together: the government and LIC are selling control of a bank to a foreign financial group, in what the government calls the largest FDI in India's financial sector. To follow it you need to know what strategic disinvestment is, how IDBI Bank got here and what limits apply to foreign ownership of banks.

## Disinvestment and strategic sale

Disinvestment means the government selling part of its holding in an enterprise. A Strategic disinvestment goes further: a block of shares is sold together with management control to a strategic buyer. The process is run by the Department of Investment and Public Asset Management (DIPAM). The best-known earlier case is Air India, and the government describes the IDBI deal as the biggest strategic disinvestment since then.

## A bank that recovered first

IDBI Bank was placed under the RBI's Prompt Corrective Action framework in May 2017, when its bad loans were very high. Gross non-performing assets (NPAs), loans on which repayment has stopped, were 31.78% in September 2018. By March 2026 they were 2.32%, net NPAs 0.15%, and the bank earned a net profit of ₹9,513 crore in 2025-26. A healthier bank is easier to sell.

## Foreign ownership of banks

India caps FDI limits in banking: 74% in private sector banks (up to 49% automatic, above that with government approval) and 20% in public sector banks. IDBI Bank has been classified by the RBI as a private sector bank since 2019. Fairfax's 60.72% therefore falls in the band that needs government approval. RBI approval of the buyer is still needed before completion.
